Investigations- Employment/Fraud/Whistleblower

• Conducted significant internal real estate fraud investigation for large owner / lessee of numerous properties across the country resulting in multi-million dollar recovery and imprisonment of former employee
• Conducted extensive internal corporate fraud investigation for large and sophisticated technology user involving millions of dollars of computer equipment and related assets resulting in multi-million dollar recovery and imprisonment of former employee
• Conducted numerous investigations involving discrimination, hostile work environment and whistleblower allegations

Compliance

• Designed and effectively implemented compliance program for multi-billion dollar retailer which ultimately avoided criminal and civil exposure for the company despite clearly unlawful conduct on the part of key executives
• Developed and implemented comprehensive regulatory compliance program for mid-size, nationwide financial services company

Real Estate

• Provided advice, negotiated transaction and reviewed purchase & sale agreement and other documents for client on successful closing on purchase of multi-million dollar commercial building
• Drafted and negotiated contracts covering the construction of multiple distribution centers and other commercial facilities across the country for NYSE listed firm

Corporate / Governance

• Have advised several Seattle and South Sound for profit and not-for-profit organizations on best practices and numerous issues relating to proper governance of the organizations
• Served for years as primary corporate governance advisor to Board of Directors and executive team of publicly traded company

Mergers & Acquisitions

• Managing counsel with primary responsibility for numerous M&A transactions on both the sell and buy sides involving company values ranging from thousands of dollars to billions of dollars, including advice and counsel on transaction structure, negotiation of deal and legal terms, oversight and conduct of due diligence, and drafting and review of purchase & sale agreement and other transaction documents

 In-House Legal Function

• Restructured and significantly increased size of in-house legal team to address company growth and associated legal risks, while at the same time minimizing the businesses’ total legal spend
